Herbert Smith Freehills Advises Sinopec Corp on Its US$3.1 Billion Share Placement

Herbert Smith Freehills has advised China Petroleum & Chemical Corp (“Sinopec Corp.”) on the Hong Kong and US aspects of its US$3.1 billion (HK$23.97 billion) private placement of new H-shares. The new shares will be listed on the Hong Kong Stock Exchange (“HKSE”) on or about 14 February, 2013. It will be the largest equity transaction in Asia so far this year, and Sinopec Corp.’s first major equity offering since its IPO in 2000.

Simpson Thacher Represents Chinalco Mining Corporation International in Its Hong Kong IPO

The Hong Kong office and Beijing office of the Firm represented Chinalco Mining Corporation International (“CMC”), a resource development subsidiary of Aluminum Corporation of China’s (“Chinalco”), as its US counsel, in connection with its initial public offering in Hong Kong and Rule 144A/Regulation S offering of 1,764,913,000 ordinary shares, raising approximately HK$3.1 billion (approximately US$400 million) in gross proceeds (before the exercise of the over-allotment option). CMC’s ordinary shares are listed on the Hong Kong Stock Exchange. CMC is intended to act as Chinalco’s core platform for the future acquisition, investment, development and operation of non-ferrous and non-aluminum mineral resources and projects overseas.

Shearman & Sterling Advises Cessna on Joint Venture Contracts with CAIGA Subsidiaries

Shearman & Sterling is advising Cessna Aircraft Company, through its parent, Textron Inc., on its joint venture contracts with subsidiaries of China Aviation Industry General Aircraft Company Ltd., (CAIGA). One joint venture, to be based in Zhuhai, will conduct final assembly of Cessna Citation XLS+ aircraft for the China market. The other joint venture, to be based in Shijiazhuang, will conduct final assembly of Cessna Caravan utility turboprop aircraft for the China market. Formation of the joint venture companies remains subject to various government approvals and customary conditions.
