Davis Polk Advises MSCI on the Sale of ISS to Vestar Capital Partners

Davis Polk is advising MSCI Inc. in connection with the $364 million sale of Institutional Shareholder Services Inc., a wholly owned subsidiary of MSCI, to Vestar Capital Partners. The transaction, which is subject to customary closing conditions, is expected to close within the next three months.

MSCI is a provider of multi-asset class portfolio management tools, primarily to institutional investors, including asset managers, banks, hedge funds and pension funds. ISS, founded in 1985, is the world’s leading provider of proxy advisory and corporate governance solutions to financial market participants. Vestar Capital Partners is a middle-market private equity firm specializing in management buyouts and growth capital investments.
