King & Wood Mallesons SJ Berwin advised Climate Change Capital Private Equity LP and Climate Change Capital Private Equity Co-Investment LP on the sale of their entire stake in wastewater company Orège.
The two funds, managed by Climate Change Capital, owned 3,682,633 shares representing 5,676,920 voting rights, or 19.8% of the share capital in Orège and 22.4% of its voting rights. Their entire stake has been sold to Eren, the natural resource efficiency group, at a unit price of €4.20.
Eren now holds 69.22% of the share capital in Orège and 60.52% of its voting rights and, together with the company’s founders, 83.75% of the share capital in Orège and 85.80% of its voting rights.
The British management company Climate Change Capital focuses on growth capital and buyout transactions across the energy, industrial and environmental resource efficiency sectors.
The French company Orège, listed on the regulated market Euronext Paris, develops effluent and sludge innovative treatment solutions.
The King & Wood Mallesons SJ Berwin team was composed of Corporate partner Pierre-Louis Périn and associates Mathieu Terrisse and Edouard Baladès. The firm previously advised Climate Change Capital on its investment in Orège in 2011 and subsequent IPO of the company in 2013.
