Faegre Baker Daniels Advises Perusa Partners on Acquisition of MineTech International Ltd.

International law firm Faegre Baker Daniels has advised Perusa Partners, a German private equity fund, on its acquisition (via portfolio company Dynasafe Area Clearance Group GmbH) of UK-based MineTech International Ltd. MineTech, located in Mitcheldean, Gloucestershire, was acquired from MTIG Limited, a portfolio company of MML Capital Partners.

MineTech International provides and manages landmine clearance and explosive ordnance disposal (EOD) services. Since 1989, MineTech International has worked in a variety of countries, including the UK, the UAE, South Africa, Zimbabwe, Sudan, Afghanistan and Iraq. The firm works on oil and gas and humanitarian operations, including seismic acquisitions (the generation and recording of seismic data), construction programmes and emergency humanitarian aid. Major customers include the United Nations, governments, non-governmental organisations, and international oil, gas, and construction companies.

The acquisition complements Perusa Partners’ portfolio of companies, having acquired BACTEC, which provides specialist services in explosive ordnance contamination and Dynasafe, the Swedish munitions destruction equipment manufacturer, last year, and German munitions disposal firm GRV LUTHE in 2009.

Perusa Partners was jointly advised by Faegre Baker Daniels and Ernst & Young Law. MTIG was advised by Jeff Soal & Associates and MML Capital Partners by Pinsent Masons.

The Faegre Baker Daniels team advising on this transaction was led by Linda Crow, with corporate assistance from Mary Shields and Amy Coburn.

Commenting on the deal, Linda Crow said, “We are delighted to work with Perusa Partners on this acquisition and the continued relationship that we have with the fund. This was a complex deal that emphasised our high level of expertise in cross-border transactions. We are excited to have been part of such a strategic development for Perusa Partners allowing them to complete the capability-building of the group in the fields of area clearance, mine action, and demilitarisation. We wish Perusa the best of luck and look forward to working with them in the future.”

This is the second deal on which Faegre Baker Daniels has advised Perusa within the last two months.
