Norton Rose Advised Brightpoint, Inc. on the Merger with Ingram Micro Inc.

International legal practice Norton Rose has advised the global leader in mobile device lifecycle services Brightpoint, Inc. (“BrightPoint”) on the merger with Ingram Micro Inc. (“Ingram Micro”), a Fortune 100 company, and the world’s largest wholesale technology distributor and a global leader in IT supply-chain, mobile device lifecycle services and logistics solutions

The transaction is valued at approximately $840 million, including the value of approximately $190 million of BrightPoint’s estimated debt (net of cash), as of June 30, 2012.

The combined company will benefit from the industry’s broadest portfolio of products, services and solutions, as well as an expanded global geographic footprint and customer base.

The complementary combination of Ingram Micro with BrightPoint will create a leading global provider of device lifecycle services and solutions for the mobility industry. Together, Ingram Micro and BrightPoint will have tremendous customer reach and deep relationships with key vendors, network operators and mobile virtual network operators. The combined company will have an expanded global geographic footprint and customer base in the rapidly growing and strategically important mobility market.

A team from Norton Rose Group’s Brussels, London, South African and Australian offices advised successfully on competition law issues outside the US and on the Merger filings with the EU Commission, in India and in South Africa.
