Paul Hastings Represents China Daye in RMB820 Million Convertible Bond Offering

Paul Hastings, a leading global law firm, announced today that it represented China Daye Non-Ferrous Metals Mining Limited (“China Daye”) in its issuance of RMB denominated USD-settled convertible bonds in an aggregate principle amount of RMB820 million, due 2018 (the “Bonds”). China Daye is listed on the Hong Kong Stock Exchange and is a state-owned enterprise principally engaged in the mining and processing of mineral ores and the trading of metal products in the PRC. The Bonds are convertible into ordinary shares of the Company at the option of the bondholders, subject to the terms and conditions of the Bonds. The listing of and permission to deal in the Bonds on the Hong Kong Stock Exchange is expected to commence on May 31, 2013.

Simpson Thacher Represents Smithfield Foods in its Strategic Combination with Shuanghui International

The Firm is representing Smithfield Foods (NYSE: SFD) in connection with its definitive merger agreement with Shuanghui International Holdings Limited. Davis Polk Advises China Galaxy Securities Co., Ltd on Its $1.1 billion Initial Public Offering

Davis Polk advised China Galaxy Securities Co., Ltd (“China Galaxy Securities”) in connection with its initial public offering and listing on the Hong Kong Stock Exchange and an international offering in reliance on Rule 144A and Regulation S. The gross proceeds from the offering amounted to approximately HK$8.3 billion ($1.1 billion) without the exercise of the over-allotment option. This is the largest offering in Hong Kong since the PICC Group raised $3.6 billion in its initial public offering in December 2012.
