The international law firm Orrick today announced seven additional partners in the firm’s new Houston office: Carlos Treistman, Bill Parish, Rodrigo Dominguez, Jonathan Ayre and Joe Roger all join from Morgan Lewis; and David Ronn, who will join the firm tomorrow, and Barbara de Marigny join from McGuireWoods. This team brings talent and depth in M&A, capital markets, tax, and energy and infrastructure transactions and projects, including substantial experience in cross-border transactions throughout Latin America.
Orrick announced the opening of its Houston office last month. With this latest group, the Houston office comprises 22 lawyers from seven different firms.

Carlos Treistman, the founder and former co-chair of Morgan Lewis’s Latin America team and former head of its Houston Corporate and Business Transactions practice, will also co-chair, with Rodrigo Dominguez, Orrick’s Latin America practice. Carlos specializes in cross-border mergers and acquisitions, joint ventures and other international transactions. Rodrigo is licensed in Mexico, New York and Texas, and counsels clients on Latin America local and cross-border transactions, including opportunities in the Mexican energy sector resulting from Mexico’s recent reform of its hydrocarbon and electricity laws. He also counsels Latin America-origin clients doing business in the United States. They are joined by corporate practitioner Bill Parish, who brings 20 years of corporate, M&A and private equity experience, including energy transactions and cross-border M&A and other transactions throughout Latin America. Bill recently represented a Mexican developer in bids for several natural gas pipeline projects tendered by the Mexican Federal Electricity Commission (CFE).
Jonathan Ayre and Joe Roger are energy transactional lawyers focusing in particular on upstream and midstream oil and gas assets, liquefied natural gas (LNG) projects and electric power generation facilities. They have substantial experience in M&A, joint ventures, project development, and construction and other commercial contracts. Jonathan and Joe will enhance Orrick’s expanding Houston energy team and the firm’s 130-lawyer global Energy & Infrastructure practice.
David Ronn, who served as co-leader of McGuireWoods’ Oil and Gas team, focuses on corporate and securities matters for master limited partnerships and other clients in the energy sector. Recognized as a leader in Corporate/M&A work in Texas by Chambers USA, he advises clients on all types of corporate securities offerings and has extensive experience in cross-border oil and gas-related transactions. Barbara de Marigny, a board-certified tax law specialist, focuses on tax structuring for M&A transactions in the energy sector. She has deep knowledge of the tax issues arising in partnership, joint venture and alternative investment structures, including the use of partnership structures for strategic acquisitions. David and Barbara add further depth to Orrick’s capital markets, transactional and tax capabilities, including master limited partnership experience, and enhance the firm’s ability to support clients in key areas such as energy and technology. David will serve as the Houston Office Hiring Partner, responsible for on-campus and lateral associate recruiting.
The firm earlier announced that Houston partner Blake H. Winburne will serve as global co-head of the firm’s Energy & Infrastructure Group. The other energy partners who recently joined the Houston office are Dahl Thompson, Matt Archer, Brad Gathright, George Humphrey, Giji John and Darrell Thomas.

Brief bios for the seven new partners announced today are provided below:
Carlos Treistman will serve as our Houston Office Leader and co-head of the firm’s Latin America practice group. He advises on cross-border mergers and acquisitions, privatizations, joint ventures and private equity matters. Carlos works with clients in a variety of industries, including oil and gas, power, mining, real estate, transportation and technology. For nearly 25 years, Carlos has counseled clients in every country in Latin America. Fluent in Spanish, he has a clear understanding of the nuances of handling business transactions throughout the region. Carlos is ranked in Chambers Global, Chambers Latin America and Chambers USA for Latin America Corporate/M&A and Latin American Investment. Chambers USA describes him as “a go-to lawyer for M&A” with “a wealth of experience in the energy sector.” He is a member of the advisory board of the Juvenile Diabetes Research Foundation International and previously served on the board of directors for the Holocaust Museum Houston.
Bill Parish brings more than 20 years of corporate, M&A and private equity experience. He has a strong background in energy and Latin America transactions. Bill has served as lead lawyer in buying and selling oil and gas properties, pipelines, terminals, processing plants, storage facilities, oilfield service companies and power generation facilities. Fluent in Spanish, he counsels clients in mergers, acquisitions, joint ventures and commercial matters involving businesses, operations and assets in Latin America. He also represents private equity funds and their portfolio companies with respect to investments ranging from portfolio company transactions, equity line investments and minority investments, as well as management compensation packages, corporate governance matters, add-on acquisitions, equity and debt financings, and dispositions. Bill is a fellow of the Texas Bar Foundation.
Rodrigo Dominguez will serve as co-head of the firm’s Latin America practice group. Rodrigo represents clients in domestic and international mergers and acquisitions, joint ventures and strategic alliances, and corporate matters in regulated and non-regulated industries, with an emphasis on Latin America. In addition, he counsels on real estate matters involving traditional land acquisitions, complex long-term lease structures and large-scale project development. Rodrigo also has significant experience representing multinationals in government contracting processes throughout Latin America. He is licensed to practice in Mexico, New York and Texas. A native Spanish speaker and fluent in English, Rodrigo has legal experience and training in the United States and Mexico.
Jonathan Ayre represents clients in acquisitions, divestitures and joint ventures involving oil and gas assets, oilfield services companies, power generation facilities and other energy industry transactions. His corporate practice includes the formation of private equity-backed entities investing in the oil and gas industry. Jonathan also represents clients in connection with project development matters, with a focus on engineering, procurement and construction agreements for major capital projects, including liquefied natural gas facilities and nuclear and fossil fuel power generation facilities.
Joe Roger focuses his practice on transactions in the oil and gas industry, primarily those involving upstream and midstream oil and gas assets (including unconventional resources) and liquefied natural gas facilities. Recognized in Legal 500 US for his work on energy-related transactions, he counsels clients on the structuring, documentation and negotiation of domestic and cross-border energy industry acquisitions and divestitures, joint ventures, development projects, commercial arrangements and other transactions.
David Ronn, who served as co-leader of the oil and gas team at McGuireWoods, focuses on corporate and securities matters for master limited partnerships and other clients in the energy sector. Recognized as a leader in Corporate/M&A work in Texas by Chambers USA, his experience includes mergers and acquisitions in the upstream, midstream and downstream sectors; master limited partnerships; energy trading and audits along with performance contracts relating to energy efficiency; drilling contracts; drilling partnerships; and sustainability issues. In the securities area, he handles initial and secondary public offerings, venture capital investments, private placements of debt and equity securities, including 144A and Regulation D offerings, preparation of SEC periodic reports, and structure and governance matters. He also advises special committees of boards of directors in conflict situations. He has extensive experience in cross-border oil and gas-related transactions, including in Africa. In addition, David advises tech and energy tech sector clients in investment, fundraising, strategic alliances and development agreement matters, and has particular experience with Israeli tech companies. David has also been involved in a number of health care transactions, mainly representing doctors related to the formations of entities and sales of practices. David was the first lawyer in Houston certified as a LEED-accredited professional by the U.S. Green Building Council and owns the first LEED-H certified home in Houston (with a gold certification). He is a fellow of the Texas Bar Foundation. He serves on the board of directors of the Texas-Israel Chamber of Commerce, the national board of directors of the American Technion Society and the international board of governors of the Technion – Israel Institute of Technology.
Barbara Spudis de Marigny focuses on tax structuring for M&A transactions in the energy sector, including master limited partnerships. She has deep knowledge of the tax issues arising in partnership, joint venture and alternative investment structures, including the use of partnership structures for strategic acquisitions by corporate groups. Barbara’s clients include Fortune 500 corporations, master limited partnerships, private equity investors, portfolio companies and funds focused on all aspects of the energy industry, including upstream, midstream and downstream oilfield services, and alternative energy, wind, solar and biomass enterprises. She also provides advocacy in federal income tax controversies at the audit and appellate levels. A member of the American College of Tax Counsel, Barbara is board-certified in tax law by the Texas Board of Legal Specialization. She is a former chair of the Partnership and LLC Tax Committee of the ABA Section of Taxation, received the committee’s award for distinguished service, and was the founder and first chair of the Section’s LLC Task Force.
