Associate (4 – 6 years)
A prestigious law firm is seeking experienced mid-level Mergers & Acquisitions (M&A) Associates to join their Boston office. This role offers an exciting opportunity to work on high-profile transactions, providing legal support and strategic advice to the firm's clients on mergers and acquisitions. The position requires extensive involvement in due diligence, drafting and negotiating agreements, and ensuring compliance with regulatory requirements.
Candidates will be expected to conduct due diligence on potential M&A targets, including reviewing financial statements, contracts, and other critical documents. In addition, they will draft and negotiate key transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements, while managing the overall due diligence process. The associate will also provide legal research and analysis on complex M&A issues and advise clients on various legal aspects of transactions. Collaboration with internal and external stakeholders to ensure compliance with relevant laws, regulations, and industry best practices is also a critical component of this role.
Ideal candidates will have 4-6 years of legal experience as an M&A associate at a large AmLaw 100 law firm, with a focus on representing both public and private companies in acquisitions, joint ventures, and corporate governance matters. Exceptional drafting skills and attention to detail are essential, associates are responsible for preparing primary and ancillary transaction documents. Additionally, the ability to manage components of transactions independently while working within a team is crucial.
