Milbank Represents Underwriters and Lead Arrangers on Concurrent IPO and Refinancing for Nord Anglia Education, Inc.

International law firm Milbank, Tweed, Hadley & McCloy represented the underwriters, led by Credit Suisse, Goldman Sachs and J.P. Morgan, on the $350 million initial public offering by Nord Anglia Education, Inc. (“Nord Anglia”) on the New York Stock Exchange (NYSE: NORD).

Milbank concurrently represented Joint Lead Arrangers Goldman Sachs, J.P. Morgan, Credit Suisse and HSBC on a senior secured $515 million Term Loan B facility and $75 million Revolving Credit Facility that closed alongside the IPO, refinancing substantially all of Nord Anglia’s outstanding indebtedness. The Term Loan B is believed to be the largest such syndication to date for a company headquartered in Asia.

Nabarro Advises Hermes Real Estate on £800m NOMA Joint Venture

Nabarro has advised longstanding client Hermes Real Estate on a joint venture with The Co-operative Group to deliver the UK’s biggest regional redevelopment project, the £800 million NOMA scheme in Manchester City Centre.

The Co-operative and Hermes Real Estate have exchanged contracts to become 50/50 partners on the development of the 20 acre mixed use scheme. Completion of the deal is expected in mid-May.

Simpson Thacher Represents Initial Purchasers in $1.75 Billion Subordinated Bonds Offering by Sumitomo Mitsui Financial Group, Inc.

Simpson Thacher recently represented the initial purchasers, led by Goldman, Sachs & Co., Barclays Bank PLC, SMBC Nikko Securities America, Inc. and Citigroup Global Markets Inc., in an offering by Sumitomo Mitsui Financial Group, Inc. of $1.75 billion aggregate principal amount of its subordinated bonds due 2024. The offering was conducted pursuant to Rule 144A and Regulation S under the Securities Act. The subordinated bonds are Basel III Tier 2 compliant and are listed on the Singapore Stock Exchange.
