King & Wood Mallesons Advises BG Group on Landmark Chinese LNG Investment Agreement
King & Wood Mallesons had advised BG Group on its entry into a Heads of Agreement (HOA) for the sale of certain interests in the Queensland Curtis LNG (QCLNG) project to China National Offshore Oil Corporation (CNOOC) for $1.93 billion (marking one of China’s biggest recentinvestments into Australia), and the sale of liquefied natural gas (LNG) from BG Group’s global LNG portfolio. Fully-termed transaction agreements are expected to be executed in the first half of 2013 and, on closing, CNOOC will reimburse BG Group for its share of QCLNG project capital expenditures incurred from 1 January 2012.

Fish & Richardson Prevails in Patent Infringement Trial for Volcano Corporation
Fish & Richardson scored a major victory for San Diego based Volcano Corporation in a patent trial regarding medical device technology used to diagnose heart problems. After less than 90 minutes of deliberation, a federal district court jury in Delaware found that Volcano did not infringe two patents asserted by St. Jude Medical Inc. and that another two St. Jude patents were invalid. A fifth St. Jude patent was declared not infringed by the court on the eve of trial. The lawsuit, filed in 2010 by St. Jude, sought to shut down Volcano’s rapidly growing cardiac Functional Management business. The verdict was delivered on October 19, 2012 and was initially subject to an agreement by the parties not to issue press releases.

Shearman & Sterling represented Bank of America Merrill Lynch, J.P. Morgan, Barclays and other initial purchasers on Albéa Beauty Holding S.A.’s €200 million offering of 8.75% Senior Secured Notes due 2019 and $385 million offering of 8.375% Senior Secured Notes due 2019. The offering, which closed on October 31, 2012, will primarily fund Albéa Beauty Holding S.A.’s acquisition of the Worldwide Cosmetics Business unit of Rexam plc and refinance certain existing indebtedness.
