Goodwin Procter Advises DST Global on Second Alibaba Investment

Goodwin Procter advised client DST Global on its recent follow-on investment in the Alibaba Group to help finance Alibaba’s repurchase of shares from Yahoo! and restructure its relationship with the Silicon Valley company.  The $7.6 billion raised by Alibaba was the largest ever private financing for a private sector Chinese company and the largest non-LBO financing for a technology company globally.  The new equity financing for Alibaba was completed at a valuation of approximately $40 billion. Davis Polk Advises Digicel Group Limited on Its $1.5 Billion Notes Offering and Cash Tender Offer

Davis Polk advised Digicel Group Limited on a Rule 144A/Regulation S offering of $1.5 billion of 8.25% senior notes due 2020 and a concurrent cash tender offer by Digicel for any and all of its $415 million aggregate principal amount of outstanding 9.125% / 9.875% senior toggle notes due 2015 and $1 billion aggregate principal amount of outstanding 8.875% senior notes due 2015. The tender offer consideration was funded from the net proceeds of the offering.

Davis Polk Advises AstraZeneca on Its $2 Billion SEC-Registered Notes Offering

Davis Polk advised AstraZeneca PLC in connection with its SEC-registered shelf takedown of $1 billion aggregate principal amount of 1.95% notes due 2019 and $1 billion aggregate principal amount of 4% notes due 2042. The notes were underwritten by Goldman, Sachs & Co., HSBC Securities (USA) Inc., J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC.

Davis Polk Advises Synutra in a Partnership Agreement with Sodiaal

Davis Polk is advising Synutra International, Inc. in connection with a long-term industrial and commercial partnership agreement with Groupe Sodiaal SA and Eurosérum SAS, a subsidiary of Sodiaal, pursuant to which Synutra will build a new drying facility in Brittany (France), intended to manufacture powdered milk and fat-enriched demineralized whey for the needs of the Synutra group. This new drying facility, which is anticipated to cost approximately €90 million ($118 million) to build, is expected to be commissioned by year-end 2014 and to employ approximately 75-100 employees. Upon commissioning of the drying facility, Eurosérum and Sodiaal will supply the facility with demineralized liquid whey and milk.

Davis Polk – Genesee & Wyoming Inc.’s Concurrent Offerings of Class A Common Stock and Tangible Equity Units

Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC as joint book-running managers in connection with the offering of 4,025,000 shares of Class A common stock of Genesee & Wyoming Inc. (including 525,000 shares from the full exercise of the underwriters’ over-allotment option), of which 233,996 shares were offered by a selling stockholder who is the Chairman of the company’s board of directors, and the offering of 2,300,000 5% tangible equity units of Genesee & Wyoming Inc. (including 300,000 tangible equity units from the full exercise of the underwriters’ over-allotment option). The net proceeds from the Class A common stock offering were approximately $233.4 million and the net proceeds from the tangible equity units offering were approximately $221.6 million, resulting in total net proceeds of approximately $455 million. Genesee & Wyoming Inc. intends to use the net proceeds from the concurrent offerings to partially fund its pending acquisition of RailAmerica Inc.
