Davis Polk advised Affymetrix, Inc. (Affymetrix) in connection with its acquisition of eBioscience Holding Company, Inc. (eBioscience) for approximately $315 million in cash. Following the acquisition, eBioscience became a wholly owned subsidiary of Affymetrix. The acquisition was funded, in part, through a new senior secured credit facility and an offering of convertible notes.

Included in the sale are BP’s operations center in Sublette County, Wyoming and all of its working interest in a substantial number of operated and non-operated wells that are producing natural gas, natural gas liquids, and oil. Completion of the sale remains subject to customary regulatory approvals and conditions. The acquisition is expected to close in July 2012.
