Davis Polk Advises Affymetrix, Inc. on Its Completed Acquisition of eBioscience Holding Company, Inc. and Related Financing

Davis Polk advised Affymetrix, Inc. (Affymetrix) in connection with its acquisition of eBioscience Holding Company, Inc. (eBioscience) for approximately $315 million in cash. Following the acquisition, eBioscience became a wholly owned subsidiary of Affymetrix. The acquisition was funded, in part, through a new senior secured credit facility and an offering of convertible notes.

Davis Polk – BRF – Brasil Foods Notes Offering

Davis Polk advised BB Securities Ltd., HSBC Securities (USA) Inc., Itau BBA USA Securities, Inc. and Santander Investment Securities, Inc. as initial purchasers in connection with the reopening by BRF – Brasil Foods S.A. of $250 million aggregate principal amount of its 5.875% notes due 2022, which constitute a further issuance of the 5.875% notes issued on June 6, 2012. The notes were sold in an offering exempt from registration pursuant to Rule 144A and Regulation S.

Gardere Represents BP in Sale of Jonah Gas Properties in Wyoming to LINN Energy

Gardere Wynne Sewell LLP represented BP America Production Company (NYSE:BP) in its $1.03 billion sale of its interests in Jonah and Pinedale upstream operations in Southwestern Wyoming to LINN Energy, LLC (Nasdaq:LINE) announced on June 25, 2012. Included in the sale are BP’s operations center in Sublette County, Wyoming and all of its working interest in a substantial number of operated and non-operated wells that are producing natural gas, natural gas liquids, and oil. Completion of the sale remains subject to customary regulatory approvals and conditions. The acquisition is expected to close in July 2012.
