Wragge Lawrence Graham & Co advises Formation Capital LLC on its acquisition of NHP for a consideration of £477 million

Wragge Lawrence Graham & Co’s 35-lawyer team was led by the head of private sector healthcare Karima Hudson, Christine Jackson and David Hayward (partners, real estate) and Jon Lent (partner, finance). The team worked alongside international law firm Skadden on the deal.

Karima Hudson led a team of 15 lawyers on the corporate, commercial and regulatory due diligence and provided assistance to the Skadden corporate team on various transaction documents. Christine Jackson, David Hayward and Bradley Silver and a team of 15 further lawyers, meanwhile, reviewed a portfolio of 289 properties. Jon Lent and Andrea Zemenides advised on the £394.5 million loan facility provided by HCP, and an £80 million bridge facility by HC REIT.

Karima Hudson said, “The UK health care sector has been attracting an increasing amount of interest from overseas investors for some time, especially from US health care REITs. We are extremely delighted to have acted for Formation Capital LLC in respect of the acquisition of the NHP Group.”

Other law firms involved in the transaction included Freshfields and Eversheds (acting for the special servicer Capita Asset Services), Skadden and Field Fisher for HCP, Ashursts for Safanad (an investor in the bid vehicle), Nabarro for HC REIT, White & Case for NHP and Pinsent Masons for the management team.
