Bayer HealthCare LLC has signed a merger agreement to acquire Schiff Nutrition International, Inc., a leading company offering vitamins and nutritional supplements in the United States and other countries, for approximately $1.2 billion.
The transaction is subject to customary closing conditions and is expected by year end 2012. Latham & Watkins LLP represents Schiff Nutrition International in the deal with a corporate team led from the firm’s Silicon Valley (Menlo Park, PA) office by partners Tad Freese and Jamie Leigh, with associates Mark Bekheit and Abtin Jalali. Advice has also been provided on employee benefits matters by partner Robin Struve and associate Carshae Dahl in Chicago; on tax matters by partner Laurence Stein with associate Samuel Greenberg in Los Angeles; on intellectual property matters by partner Anthony Klein and associate Kate Hillier in Silicon Valley; and on antitrust matters by partners Karen Silverman and Joshua Holian in San Francisco.
