Renowned Corporate Lawyer Kathleen Smalley Joins Locke Lord As Firm Expands, Enhances Resources in Los Angeles Market

Kathleen Smalley, who represents clients in complex transactions and high-stakes litigation with an emphasis on matters concerning governance of both public and private companies, has joined Locke Lord as a Partner in Los Angeles. She will be part of the Firm’s Finance, Banking and Real Estate Department and its Real Estate Practice Group.

Smalley’s practice includes sophisticated real estate transactions and disputes, complex corporate transactions and corporate and family business governance. Before joining Locke Lord, Smalley was a partner at Boies, Schiller & Flexner LLP; spent 12 years in the Trammell Crow organization, including service as the General Counsel of Trammell Crow Company and as General Counsel of Crow Holdings; and served as General Counsel and Senior Vice President, Corporate Operations of Catellus Development Corporation.

“Kathy brings a breadth of experience representing clients in both transactional and litigation matters that will enhance our Real Estate Practice Group in Los Angeles and across the Firm,” said Mitchell Popham, Managing Partner of Locke Lord’s Los Angeles office. “Kathy’s experience in debt workouts and bankruptcy is deep, and her history as a general counsel with executive responsibilities ranging from the successful reorganization in bankruptcy and recapitalization of a national portfolio of properties with differing equity structures to disclosure issues to brownfields development will prove particularly valuable to the Firm’s clients.”

Smalley joins the Firm following the Locke Lord LLP and Edwards Wildman Palmer LLP merger that took effect on January 10, 2015. The combination bolsters Locke Lord’s lawyer headcount in Los Angeles, a key Southern California market, and enhances client service offerings in targeted practice areas such as litigation, general commercial transactions, corporate representation, intellectual property, private equity, mergers and acquisitions, insurance regulatory matters, reinsurance and entertainment.

“In addition to Los Angeles, Kathy anticipates working regularly with clients in Locke Lord’s Dallas office on issues related to real estate investment, with an emphasis on the opportunistic deployment of capital and repositioning, as well as real estate finance and development,” said Don Glendenning, Managing Partner of the Firm’s Dallas office.

Smalley earned her law degree from Harvard Law School (with honors) and her undergraduate degree in economics from Rice University (with honors). She clerked for U.S. Supreme Court Justice Sandra Day O’Connor and for John Minor Wisdom of the U.S. Court of Appeals for the Fifth Circuit.

Smalley serves on the board of iCivics, a nonprofit founded by Sandra Day O’Connor, and is a member of the Council on Foreign Relations, a Fellow of the British-American Project, and a past chairman of the Visiting Committee of Harvard Law School. She served as the Fundraising Chair for Celebration 50, marking the fiftieth anniversary of the admission of women to Harvard Law School. She is a member of the American Law Institute.

Smalley has taught semester-long courses on Real Estate Transactions at Harvard, Yale, Stanford, and UCLA Law Schools and a seminar at Harvard Law School on the Problems of Corporate Counsel.
