Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated and Citigroup Global Markets Inc. in connection with the SEC-registered secondary block trade of 32,018,100 shares of common stock of Voya Financial, Inc. (“Voya”). Total gross proceeds to ING Groep N.V., the selling stockholder in the offering, were $1.4 billion. Voya’s common stock is traded on the New York Stock Exchange under the symbol “VOYA.”
