Greenberg Traurig Represents Hard Rock International In Closing $640 Million Financing Transaction

A multi-office team of attorneys with international law firm Greenberg Traurig represented Hard Rock International (HRCAF: US) in a $640 million financing transaction that closed May 14. The transaction is comprised of $350 million Senior Notes due 2021 and a $290 million Senior Secured Term Loan. The Notes were issued in a Rule 144A/Reg. S private offering.

The firm also represented Hard Rock in a tender offer for $525 million outstanding Senior Secured Notes. Proceeds of the new financing will be used to finance certain outstanding indebtedness and to fund future investments and general corporate operations.

The Greenberg Traurig team was led by Miami corporate and securities shareholder Marlon D. Goldstein, co-chair of the firm’s National Gaming Practice. The team included Miami corporate and securities shareholders Lorne S. Cantor and Manuel R. Valcarcel IV; Miami tax shareholders Charles E. “Skip” Stiver, Jr., and Mindy B. Leathe; Miami corporate and securities attorneys Drew M. AltmanRobert A. Kanter, and Selden R. Ross; Chicago corporate and securities shareholder Frederick C. The firm has also represented the Seminole Tribe of Florida in several finance and securities transactions, including a $750 million senior secured credit facility.
