Akerman Senterfitt recently represented Trivest Partners L.P., a private equity fund, in the acquisition of Confiance IP Solutions by Onepath Systems L.L.C., a Trivest portfolio company.
The transaction involved a reorganization of the portfolio company’s holding structure, an asset purchase of the Confiance business, and an earn-out for Confiance shareholders, who also were paid a combination of cash and equity in the Onepath Systems holding company at closing.
Shareholder Jonathan Awner was lead lawyer on the deal. He was assisted by shareholder William Sullivan and associate Kenneth Wiggins. Shareholder William Arnhols and associate Angela Ramey handled refinancing of Onepath System’s lines of credit with Atlantic Capital Bank and establishing lines of credit with GE Capital Corporation for the Confiance IP business.
Akerman represented Trivest Partners in its acquisition of Onepath Systems in late 2010, and has continued to work with Trivest on a significant number of its transactions.
