Orrick, Herrington & Sutcliffe LLP recently advised Siberian Agrarian Holding (“SAHO”), a Siberian grain producer, in its joint venture with Saudi Arabian investment company Najd Trading to ship Russian wheat and barley to the Middle East and North Africa. Saudi Arabia consumes roughly 15 million metric tons of grain annually and is the largest importer of Russian barley.
The joint venture will provide a guaranteed sales channel for SAHO, which has 400,000 hectares of land in southern and central Russia, as well as its home region of Novosibirsk. The deal also includes SAHO’s debt restructuring in cooperation with Metropol, a Russian investment bank, that has an option to acquire shares in SAHO in the future.
