Global law firm White & Case LLP acted as the underwriters’ counsel in the initial public offering of ALROSA, the world’s largest diamond company with listing on the Moscow Stock Exchange. The deal is Russia’s largest privatisation transaction since 2006, the largest public offering of local shares in Russia and one of the largest resource sector offerings in recent years. The offering represented a transaction value of RUB41.3 billion roubles (US$1.3 billion).

Herbert Smith Freehills has advised VTB Capital on a RUB 14 billion concession project related to the construction and operation of the toll-road bridges over the rivers Kama and Bui in the Republic of Udmurtia.  The project, which began in May 2013, will see VTB Capital provide a 15-year RUB 5 billion loan to the regional government for the construction.

Dentons is advising the shareholders of NCC Group Limited, a major container terminals operator in Russia, on the sale of 100% of NCC Group’s shares to LSE-listed Russian ports operator Global Ports, for a cash consideration of US$291 million and new shares representing approximately 18% of the enlarged share capital of Global Ports to be issued to the sellers, of which 50% will be in the form of GDRs and 50% will be non-voting shares.
