Frederick R. Fucci Joins Troutman Sanders’ New York Office Expands Energy Project Development and Transactional Practice

Troutman Sanders LLP is pleased to announce that Frederick R. Fucci has joined the firm’s New York office as a partner in the energy practice.

Fucci, who was a partner at Dickstein Shapiro LLP, is a transactional and project finance lawyer who focuses on the development, financing and acquisition of power generation and other energy assets. He has represented developers and acquirers of both renewable (solar, biomass, geothermal, hydro, wind) and fossil fuel (natural gas, coal, fuel, cogeneration) power plants in the United States and in foreign markets. In addition to his energy project work, Fucci devotes a significant portion of his practice to corporate transactions.

Over the past several years, Fucci has participated in the development of over 2.5 GW of independent power projects and in the closing of over $3 billion in merger and acquisition transactions. He is experienced in drafting and negotiating equity investment and owner control agreements for project companies, as well as all the building blocks of power projects, including power purchase agreements, concession and land-use arrangements, construction contracts, operations and maintenance agreements and fuel supply contracts. He also has handled the associated financing agreements, including individual credit facilities, common and participation agreements and security packages for U.S. and international projects.

In addition to his energy project work, Fucci devotes a significant portion of his practice to corporate transactions, including mergers, acquisitions, joint ventures, asset purchases and dispositions. He has represented many foreign companies in starting up or acquiring businesses in the United States. He provides general commercial and corporate advice to foreign and U.S. entities and is well-versed in contracts involving supply and sales of goods and equipment.

Troutman Sanders has been involved in over $37 billion in funding and debt issued for energy companies. Since 2007, the firm has served as counsel in over 300 solar transactions in the United States, including projects located in Arizona, California, Colorado, Connecticut, Hawaii, Florida, Massachusetts, Maryland, New Jersey, New Mexico, New York, Ohio, Oregon, Pennsylvania and the Commonwealth of Puerto Rico. These transactions include utility-scale power plants and commercial and residential customer-sited distributed generation systems. The firm represents investors, developers and utilities in all aspects of energy project development, finance, corporate and M&A transactions.

Beyond his project development and transactional work, Fucci has been involved in international commercial arbitration throughout his career and acts as a neutral arbitrator in disputes under the arbitration rules of the International Chamber of Commerce, the International Centre for Dispute Resolution and the American Arbitration Association. He is fluent in French, Italian and German.

Fucci earned a J.D. from Georgetown University Law Center, an M.A. from the Johns Hopkins University School of Advanced International Studies and a B.A. from Amherst College. He is admitted to practice in New York.
