Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, UBS Securities LLC and Wells Fargo Securities, LLC as joint book-running managers and representatives of the underwriters on an SEC-registered offering by Stanley Black & Decker, Inc. of $750 million aggregate principal amount of 5.75% junior subordinated debentures due 2052.

Stanley Black & Decker is a diversified global provider of hand tools, power tools and accessories, industrial tools and automotive tools and equipment, mechanical access solutions, electronic security solutions and technology-based (engineered) fastening systems.
