Haynes and Boone, LLP New York welcomes Frank Vivero as a partner in the firm’s Corporate Practice Group focusing on international transactions.
“Frank’s in-depth experience with corporate securities transactions is an advantage for our Latin American and other clients in need of cross-border transaction support,” said Ken Bezozo, New York managing partner. “His exceptional understanding of the international capital markets, especially in Latin America, will greatly enhance our capabilities.”
Vivero focuses his practice on the broad financial and corporate areas, including public and private securities offerings, corporate governance and Securities Exchange Commission (SEC) compliance work. He has advised businesses and international investment banks on significant transactions in Asia and Latin America.
He also has broad experience representing issuers and investment banks in connection with a wide variety of offerings of debt and equity securities in the international capital markets. Vivero’s securities experience includes offerings of investment grade and high-yield notes, hybrid capital securities, common and preferred stock and American Depository Receipts involving companies from a wide variety of industries, including banking, agricultural, retail, technology and telecommunications.
These offerings have included SEC- registered initial public offerings (including global U.S. and international equity offerings), subsequent primary and secondary offerings and Rule 144A/Regulation S offerings. Vivero has also represented issuers in restructuring and liability management transactions, including consent solicitation and exchange offers.
Vivero is part of a growing New York office that is now home to more than 60 lawyers. The firm recently signed a 15-year lease for 74,600 square feet – the entire 25th and 26th floors – at the 70-story, iconic 30 Rockefeller Center complex. Ultimately the firm plans to house more than 100 lawyers in its New York location.
