Johnathan represents public and private companies in a wide range of matters, including capital markets transactions, mergers and acquisitions, securities law compliance, corporate governance practices, and US Securities and Exchange Commission reporting and disclosure requirements. He also frequently represents companies involved in stock and asset purchases and sales, reverse mergers, and general commercial contracting. Johnathan rejoins ArentFox Schiff from Haynes and Boone LLP, where he was a partner in the firm’s Capital Markets and Securities practice.
Additionally, Johnathan has served as outside securities counsel to several public companies and has represented numerous clients in initial public offerings, follow-on public offerings, shelf takedowns, and the preparation of filings to comply with the Securities Act of 1933 and the Securities Exchange Act of 1934. He also advises foreign private issuers on securities compliance matters.
