Boies Schiller Flexner LLP today announced that Renee Zaytsev, a trial lawyer who has handled complex corporate and commercial disputes throughout the United States, has joined the firm as a partner in the New York office. Renee brings deep experience in securities and shareholder litigation, and she will expand the firm’s ESG capabilities. Zaytsev arrives at the firm from Thompson Hine LLP.
Renee’s practice focuses on representing corporations, directors, officers, and private entities in shareholder disputes, including alleged violations of the federal securities laws, alleged breaches of fiduciary duty, derivative suits and class actions, corporate governance matters, and M&A litigation. She also has significant experience in shareholder activism litigation, having represented some of the best-known activists in high-profile proxy contests and related disputes. In addition to her work in the courtroom, Renee advises boards of directors and management teams on corporate governance and ESG matters, proxy contests, risk mitigation, and crisis management. She joins Boies Schiller from a national law firm, where she was co-chair of that firm’s Securities and Shareholder Litigation group.
“Boies Schiller is a premier litigation firm and an ideal place to continue developing my practice,” Renee said. “My work representing both corporations and activist shareholders allows me to bring unique across-the-table insights and perspectives to shareholder disputes. I look forward to drawing on this experience to solidify the firm’s status as a go-to destination for high-stakes shareholder litigation.”
Chairman-elect Matthew L. Schwartz said, “Lateral hires, like Renee’s, reflect our continued focus on prioritizing strategic growth. She is an exceptional trial lawyer whose background will be a value-add for our clients. From her extensive experience in Delaware’s Court of Chancery to her work advising companies and shareholders, Renee brings both strategic counsel and a trial-ready mentality to clients across the litigation lifecycle. We’re thrilled she is joining us.”
BSF’s securities work includes advising investment banks, Fortune 100 companies, and high-net-worth individuals. The firm is one of the few ever to have brought securities fraud cases to trial, and BSF’s securities litigation wins include successfully arguing in the U.S. Supreme Court in the landmark Halliburton cases.
“The threat of securities litigation is one of the top risks that public companies face,” said New York-based partner John Zach, who co-leads the firm’s securities practice. “Renee’s background in the courtroom and the boardroom provides clients with deep understanding of securities and shareholder-related risks and opportunities that will be incredibly beneficial as we continue to grow this practice.”
A first-generation lawyer, Renee is a member of the Legal Mentor Network, a nonprofit dedicated to connecting law students and recently barred attorneys with legal mentors. Additionally, Renee speaks several languages, including fluent Spanish.
