Cooley Adds Four Prominent Corporate Partners in New York and San Francisco

Cooley is further boosting its corporate capability in New York and San Francisco with the addition of four new partners. The well-regarded group, which joins Cooley from Reed Smith, will be led by New York-based partner Yvan-Claude Pierre, head of Reed Smith’s global corporate and securities group and chair of its US capital markets group, who will arrive after completion of his notice period. Cooley’s New York office also gains corporate and capital markets partners Daniel Goldberg and William Haddad; corporate and M&A partner Garth Osterman joins Cooley’s San Francisco office. The four partners will transition to Cooley their full-spectrum, globally-oriented corporate practices.

Yvan-Claude Pierre is one of the country’s leading corporate lawyers, having advised on a wide range of public offerings, M&A and other significant corporate transactions across the US and throughout Europe, Australia, Asia and Africa. Over his nearly 20 years in practice, he has counseled US and global publicly traded and privately held life science, health care, tech and other companies, investment banks, financial institutions and private equity sponsors and venture capital firms. Pierre has been involved in more than 250 capital markets offerings and 150 M&A transactions.

Daniel Goldberg represents public and private companies and financial institutions in connection with securities offerings, mergers and acquisitions and general corporate matters. He has particular experience handling “at-the-market” offerings, shelf-takedowns and registered direct offerings. In addition, throughout 20 years in practice, he has become a trusted advisor to public companies in regard to their securities compliance and corporate governance. Goldberg also has an increasing focus representing Israel-based companies in their US activities.

William Haddad counsels publicly traded companies, investment banks, financial institutions and private equity sponsors and venture capital firms. He advises on a full range of corporate transactions, with a particular focus on international listings and mergers and acquisitions in the US, China, Europe, Australia and Israel. He has been involved in more than 100 capital markets transactions throughout his career which spans some 19 years.

Garth Osterman concentrates his practice in mergers and acquisitions, divestitures, buyouts and private equity transactions. For nearly two decades Osterman has represented public and private companies in their strategic transactions, with a specialty in cross-border transactions, particularly in Eastern Europe, South and Central America and Asia. He counts among his clients hedge funds, private equity funds and companies of all sizes engaged in US and cross-border mergers, acquisitions and leveraged buyouts.

The addition of Pierre, Goldberg, Haddad and Osterman will bring to 25 the number of corporate group partners who have chosen to join Cooley since 2013. In New York alone, they follow on the heels of the mid-July arrival of corporate and capital markets partner Joshua Kaufman from Skadden; the 2014 addition of capital markets partner Div Gupta from Latham; and the addition in 2013 of corporate tax partners Jeremy Naylor from White & Case and Mike Faber from Wilson Sonsini.
