Faegre Drinker announced today that Kathleen Emberger has joined the firm’s New York office as a partner in the corporate practice. Emberger comes to the firm from Cleary Gottlieb Steen & Hamilton LLP.
She is the fourth partner to join Faegre Drinker in February, following the additions of Lenny Asaro and Alison Baldwin in Chicago, and Dylan Carson in Denver and Washington, D.C. The firm added six partners in the first six weeks of 2021, including corporate partner Adam Rosenthal in Philadelphia and New York.
Emberger counsels clients on executive compensation matters related to public and private corporate transactions and investments, and equity-based compensation plans and incentive arrangements. She is well-versed in areas of governance and disclosure involving executive compensation, regularly counseling public companies on annual and periodic disclosure obligations, including the preparation of compensation-related portions of their annual proxy disclosure.
“For more than two decades Kathleen has advised clients on the strategy, design and negotiation behind complex executive compensation matters in a wide range of transactions and corporate events,” said co-leaders of the firm’s corporate practice group James Fischer and Keith Radtke. “She brings a valuable skillset to our strong deal team in New York and accomplished national practice. We’re excited to welcome her to Faegre Drinker.”
Emberger’s experience also includes advising clients on executive transitions and designing employment and compensation arrangements for public and private company clients, including private equity portfolio companies, and counseling clients on the associated ERISA, tax and securities implications of these arrangements.
“The spirit of collaboration across Faegre Drinker’s corporate practice, paired with their innovative approach to serving clients, was an important differentiator for me,” said Emberger. “I’m thrilled to be joining a team that keeps the client’s goals and interests at heart – this platform is the right fit for growing my practice.”
Emberger earned her bachelor’s degree, magna cum laude, from the University of Pennsylvania, and her Juris Doctor and LL.M. in Comparative and International Law, cum laude, from Duke University School of Law.
With 225 corporate, securities, tax and finance attorneys, Faegre Drinker’s corporate practice is one of the largest in the nation, serving as legal adviser to clients on their most strategic transactions and business decisions. Attorneys in the group have been primary securities compliance and corporate governance counsel for more than 50 public companies and are leaders in middle-market M&A, collectively working over the past three years on more than 750 transactions, with a cumulative deal value of more than $100 billion.
