Greenberg Traurig Strengthens Capital Markets Team

Global law firm Greenberg Traurig LLP continues to strengthen its Global Capital Markets Practice with the addition of Raffael Fiumara, previously a vice president and senior counsel at Goldman Sachs & Co. LLC.

Fiumara brings more than a decade of private practice and in-house experience in corporate, securities and regulatory matters from his tenure in the Investment Banking Legal Division at Goldman Sachs and his prior work at Cravath, Swaine & Moore LLP. He has extensive experience on more than 1,000 transactions across industries and products, including more than 100 initial public offerings, public equity and debt offerings, and other capital markets and alternative financing transactions from private placements to Special Purpose Acquisition Company (SPAC) transactions.

“Coming from the investment banking side, Raffael can provide a unique perspective for clients as they seek to access the capital markets, as well as advise them on creating the ideal strategy to meet all needed regulatory compliance requirements and industry best practices,” said Alan I. Annex, co-chair of the firm’s Global Corporate Practice. “Raffael’s arrival strengthens our team of nearly 100 corporate attorneys in the firm’s Global Capital Markets Practice, who help guide clients through the most complex public and private capital markets transactions that often require cutting-edge deal structuring.”

The Global Capital Markets Practice has seen strong client demand in recent years as companies have looked to access both the public and private markets to fund future growth, with some opting for traditional initial public offerings and others tapping private equity financing or choosing to merge with a SPAC.

Greenberg Traurig worked on a record number of public capital markets and merger transactions in 2020 and 2021 including several significant public deals: the $16 billion de-SPAC of United Wholesale Mortgage by Gores Holdings IV, considered the largest SPAC-related merger; the $4598.8 million initial public offering for Aveanna Healthcare Holdings Inc., one of the largest IPOs to date; and the $1.3 billion de-SPAC of Procaps, the Colombia-based pharmaceutical and healthcare company with Union Acquisition Corp. II. Also the firm represented Aeropuertos Argentina 2000 S.A., the concessionaire responsible for operations at Argentina’s 35 airports, in a liability exchange management transaction and the issuance of notes in two concurrent debt offerings and consent solicitation.

Fiumara’s experience will complement the Global Capital Markets Practice with its team of attorneys who are experienced in advising clients on domestic and cross-border transactions and in working with U.S. and international securities exchange requirements. Key attorneys in the global practice include Shareholders Marc M. Rossell in New York, co-chair of the Latin America Practice, Laurie L. Green and Flora R. Perez in Fort Lauderdale, Barbara A. Jones in Los Angeles, and James Mountain, Andrew Caunt, and Dorothee Fischler-Appelt in London. The team also has a group of attorneys focused on the domestic market including Robert Grossman and Drew Altman in Miami, Joseph A. Herz and Yuta N. Delarck in New York, Kara L. MacCullough in Fort Lauderdale and Brian H. Blaney in Phoenix.

Fiumara will focus his practice on public and private equity and debt capital markets, Securities and Exchange Commission and stock exchange reporting, corporate governance and compliance obligations, and general corporate matters, as well as alternative capital and other financing transactions. He will represent clients globally, working from the firm’s New York and Miami offices. He is admitted to practice in New York and is not admitted in Florida.

“I was attracted to the collaborative culture at Greenberg Traurig, where you are part of a team and have the opportunity to tap into the firm’s collective knowledge base across the global platform,” Fiumara said. “The firm’s entrepreneurial culture empowers attorneys to do what’s best for their clients, which will help me to grow my own practice.”

Fiumara earned his J.D. at Harvard Law School and his B.A., magna cum laude, at New York University.
