Project finance/energy M&A attorneys Timothy Moran and Philip Corsello have joined Holland & Knight as partners in its Washington and New York offices, respectively. Mr. Moran will chair the firm’s Energy and Infrastructure M&A/Finance Team and co-chair its Energy & Natural Resources Industry Sector Group. Most recently, he was a partner at DLA Piper, where he was U.S. co-chair, Projects and Infrastructure; U.S. chair, Renewable Energy; and U.S. chair, Energy M&A. Mr. Moran and Mr. Corsello practiced together at DLA Piper and prior to that at Sidley Austin and Dewey & LeBoeuf. Most recently, Mr. Corsello was with Schiff Hardin.
“Tim and Phil are well known and highly regarded in the energy, project finance and infrastructure sectors, three areas of great strategic importance to the firm,” said José Sirven, leader of Holland & Knight’s Business Section. “With more than 25 years of experience each, they bring world-class practices and an impressive roster of marquee clients to the firm. We are thrilled that they have joined our team.”
Mr. Moran represents domestic and international lenders, private equity firms and project developers in the development, financing, acquisition and sale of infrastructure projects located in the Americas, Europe, the Middle East and Africa. For the past 15 years, his practice has primarily focused on the renewable energy sector representing clients in M&A transactions with an aggregate value in excess of $35 billion, and project development and finance transactions with an aggregate value in excess of $64 billion in 40 U.S. states, plus Washington, D.C., and Puerto Rico. His transactional experience includes utility-scale wind projects, utility-scale solar projects, battery storage projects, offshore wind, power transmission, commercial and industrial solar portfolios, and distributed generation projects.
In addition to the renewable energy sector, Mr. Moran has extensive experience with thermal energy and midstream oil and gas transactions, with a particular focus on midstream oil and gas. Outside of the U.S., he has represented developers and lenders in gas-fired generation, renewable energy and other infrastructure projects for nearly all of his career.
Mr. Corsello represents clients in a variety of energy finance and energy M&A matters, with a focus on the renewable energy and battery storage industries. His clients include agents, arrangers, institutional investors, banks and other lenders, as well as sponsors, developers and investors. They seek his guidance on project financings, tax equity and back-leverage financings, private placements, including Rule 144A offerings, holdco and term loan B credit facilities, and a variety of other credit extensions and investments. He also advises clients on the development and acquisition of energy projects, including renewable energy projects, gas-fired power generation facilities, electricity transmission projects and natural gas storage facilities.
“Phil and I have practiced together for our entire careers. We considered a number of firms where we thought we could take a practice that drew upon both of our strengths. Holland & Knight was a clear choice almost from the outset,” said Mr. Moran. “We were immediately impressed with the firm’s management and quickly found that we had a shared vision. With an already strong U.S. energy, project finance and infrastructure capability, plus an enviable reputation in Latin America, it was apparent that Holland & Knight offered an impressive platform to take a strong practice and make it even better.”
