International law firm McDermott Will & Emery continues to expand its Transactions practice with the addition of Tracy A. Bacigalupo as partner. An experienced corporate lawyer, Tracy joins McDermott’s robust corporate practice group in New York and further deepens the Firm’s bench across mergers & acquisitions, capital markets, real estate and technology.
“Tracy’s varied practice across a spectrum of services aligns with our core corporate practices in a way that will expand our New York footprint and bolster synergies across the transactions, real estate and real estate finance groups,” said Harris Siskind, global head of McDermott’s Transactions Group. “Tracy represents a diverse group of public and private companies, including real estate investment trusts, investment companies and private equity and venture capital firms, bringing both a broad skill set and a nimble practice that can easily adapt to market changes.”
Tracy focuses her practice on M&A and corporate governance matters, representing acquirers and target companies, as well as special committees, in transactions including negotiated mergers, divestitures and other collaborations involving both strategic investors and private equity and venture capital firms. She also has substantial experience with technology transactions and intellectual property development and protection.
Tracy is well known as a trusted legal advisor to Maryland-formed real estate investment trusts and open- and closed-end investment companies, as well as their directors and trustees, on a broad range of matters, including strategic transactions, capital markets transactions, financings, and corporate governance issues. Tracy was the primary drafter and proponent of legislation recently enacted in Maryland that permits Maryland companies to migrate to a blockchain-enabled platform.

Tracy holds a JD from Washington and Lee University and a BA from Hollins College.
