Cravath represented the initial purchasers, led by BofA Merrill Lynch, Citigroup, J.P. Morgan Securities, Mizuho Securities and Rabo Securities USA Inc., in connection with the US$3 billion 144A/Reg. S debt offering of Wm. Wrigley Jr. Company, the world’s largest manufacturer and marketer of gum and a leader in the non‑chocolate confections category. The proceeds from the offering were used to repay borrowings from Mars, Incorporated, fees and expenses related to other refinancing transactions and general corporate purposes. The transaction closed on October 21, 2013.

Paul Hastings LLP, a leading global law firm, announced today that it represented private equity firm Ventura Capital Privado, S.A. de C.V in its successful takeover of Maxcom Telecomunicaciones, S.A.B. de C.V. (NYSE: MXT, BMV: MAXCOM.CPO), a facilities-based telecommunications provider. The takeover, led by Ventura on behalf of a group of investors, was accomplished through a simultaneous public tender offer for the shares of Maxcom in Mexico and an SEC registered tender offer in the U.S. The takeover was conditioned on a complete reorganization of Maxcom’s capital structure which was accomplished by the filing of a prepackaged Chapter 11 bankruptcy plan in Delaware. The U.S. bankruptcy filing was needed to compel all of the holders of Maxcom’s internationally traded bonds to agree to the terms of the restructuring. In the restructuring, Maxcom’s existing bondholders were issued new bonds.

Simpson Thacher represented First Data Holdings Inc. (“First Data”) in steps designed to increase its flexibility and options to refinance and extend the maturities of its current capital structure. To effect these changes, First Data agreed to issue $300 million of new convertible preferred equity to KKR and other existing shareholders. The net proceeds will be used to repay a portion of the approximately $2 billion of its 11.5% senior PIK notes due 2016, with the remainder to be exchanged for new 14.5% senior PIK notes due 2019.
