Shearman & Sterling Advises on Amgen Inc.’s $10.5 Billion Purchase of Onyx Pharmaceuticals

Shearman & Sterling advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Bank PLC and J.P. Morgan Securities LLC as joint lead arrangers and joint bookrunning managers in connection with a $5 billion term loan related to Amgen Inc.’s $10.5 billion purchase of Onyx Pharmaceuticals Inc. Concurrently, the firm also represented Bank of America, N.A. in connection with a $3.1 billion sale and repurchase agreement financing transaction related to the acquisition.

Simpson Thacher Represents Peabody Energy Corporation in $2.85 Billion Credit Facility

The Firm recently represented Peabody Energy Corporation (Peabody) in a new senior secured credit facility led by Citigroup Global Markets, Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, BNP Paribas Securities Corp., Credit Agricole Corporate and Investment Bank, HSBC Securities (USA) Inc., Morgan Stanley Senior Funding, Inc., PNC Capital Markets LLC and RBS Securities Inc.  The new facility includes a $1.65 billion revolver and a $1.2 billion term loan and replaced Peabody’s existing credit facilities.

Simpson Thacher Represents Initial Purchasers in Offering of $800 Million of Senior Notes by MEG Energy Corp.

The Firm represented Barclays, BMO Capital Markets, Credit Suisse, CIBC, RBC Capital Markets, Morgan Stanley, HSBC Securities, J.P. Morgan and TD Securities as initial purchasers in connection with a 144A/Regulation S offering by MEG Energy Corp. (“MEG”) of $800 million of 7.0% Senior Notes due 2024.  MEG intends to use the net proceeds from the offering for general corporate purposes, including funding its 2014 capital program.

Cravath represented the underwriters, led by J.P. Morgan Securities, BofA Merrill Lynch and Wells Fargo Securities, in connection with the US$874 million initial public offering of class A common stock of Premier, Inc., a national healthcare alliance. The shares were listed on the NASDAQ Global Select Market. The transaction closed on October 1, 2013.
