Shearman & Sterling Advises on Huntington Bancshares’s $400 Million Notes Offering and $350 Million Notes Offering by The Huntington National Bank

Shearman & Sterling represented Goldman, Sachs & Co., Merrill Lynch, Pierce, Fenner & Smith Incorporated and The Huntington Investment Company as the joint bookrunning managers in connection with a registered offering by Huntington Bancshares Incorporated of $400 million aggregate principal amount of its 2.60% Senior Notes due 2018. Shearman & Sterling also represented the underwriters in connection with a concurrent 3(a)(2) offering by The Huntington National Bank, a subsidiary of Huntington Bancshares Incorporated, of $350 million aggregate principal amount of its 1.35% Senior Notes due 2016. The proceeds from the offerings will be used for general corporate purposes.

Simpson Thacher Represents Global Tower in its $3.3 Billion Sale to American Tower

The Firm is representing MIP Tower Holdings LLC (“MIP”), the parent company of Global Tower Partners (“GTP”) and related companies, in the $3.3 billion announced sale to American Tower Corporation (NYSE: AMT).  The purchase price will also include the assumption of $1.5 billion in existing debt, for a total purchase price of $4.8 billion. The transaction is subject to customary closing conditions and is expected to close in the fourth quarter of 2013.

Hogan Lovells Closes US$650M Acquisition of Two Global Kodak Businesses for KPP

Hogan Lovells advised the Trustees of the Kodak Pension Plan (KPP) on the implementation and completion of a comprehensive settlement of its claims against Eastman Kodak Company (EKC) and Kodak Limited, its UK subsidiary. This included the acquisition of EKC’s Personalized Imaging (PI) and Document Imaging (DI) businesses, valued at US$650 million but acquired through a mixture of release of claims and a cash consideration of $325m. The acquisition closed 3 September 2013, the day of EKC’s emergence from bankruptcy.

Simpson Thacher Represents JPMorgan and Barclays as Joint Lead Arrangers for Eastman Kodak Company’s Bankruptcy Exit Financing

Simpson Thacher represented affiliates of JPMorgan Chase Bank, N.A. and Barclays Bank PLC as joint lead arrangers in connection with a $420 million senior term loan facility, a $275 million junior term loan facility and a $200 million asset-based revolving credit facility.  JPMorgan and Barclays will act as administrative agents under the term loan facilities.  The exit financing was effectuated through a plan of reorganization confirmed by the Bankruptcy Court for the Southern District of New York on August 23, 2013 and was consummated upon Kodak’s exit from bankruptcy.
