Womble Bond Dickinson announced today that Tracy A. Bacigalupo has joined the firm’s Corporate & Securities group as a partner in New York. Bacigalupo focuses her practice on corporate law, mergers and acquisitions, and corporate governance matters. She also has substantial experience managing technology transactions and IP development and protection. Bacigalupo joins Womble from McDermott Will & Emery in New York, where she was a partner in their Corporate practice.
Earlier this year, Bacigalupo was named to Global M&A Network’s list of Top 50: Americas M&A Lawyers, a distinction that recognizes her leadership and record of closing value-creating transactions. She is one of only three female M&A lawyers on this year’s list.

She represents public and private acquirers, target companies, and special committees in a variety of M&A transactions, ranging from negotiated mergers to divestitures and other collaborations involving strategic investors, private equity firms, and venture capital firms.
Since establishing its New York presence last year, Womble has continued to strengthen its capabilities with business litigation partners Harry Rimm and Joseph Patella. Bacigalupo is the first Corporate & Securities addition, effectively transitioning New York to a full-service office.

Bacigalupo regularly counsels Maryland-formed real estate investment trusts, open- and closed-end investment companies, and their directors and trustees on a broad range of matters, including strategic transactions, capital markets transactions, financings, and corporate governance issues. She also represents issuers in equity and debt offerings (including initial public offerings) and advises companies, boards of directors, and board committees regarding duties of directors, interested director transactions, charter and bylaw provisions, stockholder activism preparedness, and takeover defenses.
She received her J.D. from Washington and Lee University School of Law and earned a B.A. from Hollins College.
