DLA Piper is serving as company counsel to longtime client JDA Software Group, Inc. in its US$1.9 billion definitive merger agreement with affiliates of RedPrairie. The combined company will offer a broad portfolio of solutions and services to manage global supply chains.
Under the terms of the merger agreement, RedPrairie, through affiliates, will commence the transaction through a cash tender offer to acquire all outstanding shares of JDA common stock for US$45 per share.
DLA Piper was ranked first in global M&A by Mergermarket in 2010 and 2011. The JDA transaction represents the 10th transaction involving the sale, purchase or merger of a public company handled by DLA Piper’s Phoenix office since its formation in 2007. The office has handled over US$10 billion in capital markets, M&A, private equity and other transactions during this period.
