Holland & Knight represented Digital Realty on the real estate component of its $1.886 billion acquisition of Telx Holdings, Inc. from private equity firms ABRY Partners and Berkshire Partners. Digital Realty, a San Francisco-based real estate investment trust, is a leading provider of data center and colocation solutions. Telx is a data center colocation and interconnection company based in New York. The deal is expected to be completed later this year.
Holland & Knight handled the contract negotiations related to the real estate elements of the transaction, which involved 1.3 million square feet of data center space in 20 facilities throughout the country managed by Telx. This included performing due diligence on the real estate and related assets, including title, survey, zoning, leases, licenses and customer contracts, both for space with a Telx entity as a tenant and a Telx entity as a landlord.
The Holland & Knight team was led by real estate partners Susan Booth and Stacie Goeddel from the firm’s Los Angeles and San Francisco offices, respectively.
