DLA Piper represented Eagle View Technologies, Inc. in a merger with Pictometry International that created a combined new company valued at approximately US$400 million. The merger creates an entity that offers comprehensive and robust capabilities in aerial imagery collections, geospatial analytics and 3D measurement technologies.
Under the terms of the merger agreement, Eagle View and Pictometry merged in a stock-for-stock merger-of-equals transaction pursuant to which both Eagle View and Pictometry became wholly owned subsidiaries of a new entity. Eagle View’s management will lead the combined company’s management team and the company will continue operations in both Pictometry’s home of Rochester, NY and Bothell, WA, where Eagle View is headquartered.
