Winston & Strawn LLP today announced the opening of its Silicon Valley office. Scheduled to officially open its doors September 9, 2013, Winston & Strawn Silicon Valley is the seventeenth global office, and ninth U.S. office for the firm. The Silicon Valley office is a key step in expanding Winston & Strawn’s intellectual property litigation practice and presence on the West Coast.

Procopio Continues Expansion in Silicon Valley – Adds Two New Partners in Menlo Park

Procopio, San Diego’s largest law firm, announced the addition of two new partners and one associate to their Silicon Valley office. Simpson Thacher Represents the Underwriters in the Initial Public Offering by Fox Factory Holding Corp.

The Firm represented the underwriters, led by Robert W. Baird & Co., William Blair & Company, L.L.C. and Piper Jaffray & Co., in connection with the underwriting of the initial public offering of common stock by Fox Factory Holding Corp. (“Fox”).  The offering of 9,857,143 shares, which includes the shares that were sold pursuant to the option exercised by the underwriters, raised approximately $148 million in aggregate gross proceeds for Fox and the selling stockholders. The shares are now listed on the Nasdaq Global Select under the ticker symbol “FOXF.”

Sheppard Mullin Continues Expansion with Addition of Three Bay Area Partners

Peter H. Carson, Lorna L. Tanner and Stephanie L. Zeppa have joined Sheppard, Mullin, Richter & Hampton LLP as partners.  Carson joins the firm’s San Francisco office, as a member of the Finance and Bankruptcy practice group.  Tanner and Zeppa join the firm’s Palo Alto office, as members of the Intellectual Property practice group and Corporate practice group, respectively.  Carson joins from Bingham McCutchen, where he was a member of the Transactional Finance practice and co-chaired the Healthcare Industry Group.  Tanner joins from Foley & Lardner and Zeppa joins from Dentons.

Davis Polk – Fleetmatics Group PLC Follow-On Offering

Davis Polk advised Barclays Capital Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated as representatives of the several underwriters in connection with an SEC-registered follow-on offering of 10,925,000 ordinary shares of Fleetmatics Group PLC, of which 1,000,000 ordinary shares were issued and sold by the Company and 9,925,000 ordinary shares were sold by the selling shareholders, for an aggregate price to the public of $313.5 million. The shares include 1,425,000 ordinary shares purchased by the underwriters pursuant to an option provided by one selling shareholder.

Davis Polk – Rally Software Follow-On Offering

Davis Polk advised the underwriters in connection with a $132.2 million offering of common stock of Rally Software Development Corp. at $24.75 per share, consisting of 250,000 shares of common stock offered by the company and 5,089,455 shares of common stock offered by the selling stockholders (including 729,058 shares in respect of the exercise in full of the underwriters’ option to purchase additional shares). The offering resulted in gross proceeds of $6.2 million to the company and $126.0 million to the selling stockholders. Deutsche Bank Securities Inc. and Piper Jaffray & Co. acted as lead book-running managers and Needham & Company, LLC, JMP Securities LLC, William Blair & Company, L.L.C. and Wunderlich Securities, Inc. acted as co-managers. Rally Software’s common stock is traded on the New York Stock Exchange under the symbol “RALY.”
