Corporate Partner Jung Son Joins Sheppard Mullin Palo Alto From Technology Crossover Ventures

Jung Yeon Son has joined Sheppard, Mullin, Richter & Hampton LLP as a partner in the firm’s Corporate practice group, based in the firm’s Palo Alto office. Son joins from Technology Crossover Ventures in Palo Alto, where she served as Associate General Counsel. Before that she was VP & Associate General Counsel at Blum Capital Partners in San Francisco, as well as practicing numerous years at Simpson Thacher in New York and Palo Alto.

Davis Polk – BMC Software Goes Private

Davis Polk is advising BofA Merrill Lynch as financial adviser to BMC Software, Inc. in connection with its approximately $6.9 billion acquisition by a private investor group led by Bain Capital and Golden Gate Capital together with GIC Special Investments Pte. Ltd. and Insight Venture Partners. The transaction, which is expected to close later this year, is subject to approval from BMC shareholders, regulatory approvals and other customary closing conditions.

Simpson Thacher Represents Silver Lake Sumeru in Connection with Announced Merger of Power-One and ABB

The Firm is representing Silver Lake Sumeru in connection with the announced merger of Power-One, Inc. (NASDAQ: PWER) and ABB Ltd (NYSE: ABB). Investment funds affiliated with Silver Lake Sumeru own common stock and convertible preferred stock representing, on an as-converted basis, approximately 33% of the outstanding equity securities of Power-One. Under the terms of the merger agreement, ABB will acquire all of the issued and outstanding shares of Power-One for $6.35 per share in cash, which represents an equity value of approximately $1.028 billion. The transaction is subject to the satisfaction of customary closing conditions and is expected to close in the second half of 2013.
