Simpson Thacher is representing Japan’s Monex Group, Inc. in connection with its acquisition of TradeStation Group, Inc. in a transaction valued at $411 million. TradeStation Group is an online brokerage firm based in the United States. Monex Group is a pioneer among online brokerage firms in Japan.
Pursuant to the terms of the merger agreement, a subsidiary of Monex Group will acquire all of the common stock of TradeStation through a cash tender offer followed by a merger. Completion of the transaction is subject to customary closing conditions, including the receipt of required regulatory approvals.
